1. Introduction and Acceptance

Welcome to Quiotech Technologies. These Terms of Service ("Terms") govern your use of our website https://quiotech.com and the digital marketing services provided by Quiotech Technologies ("Company," "we," "our," or "us"), located in Delhi NCR, India.

By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2. Services Offered

Quiotech Technologies provides the following digital marketing and web development services:

• Web Development (websites, web applications, landing pages)
• Search Engine Optimization (SEO) Services
• Content Creation (graphics, videos, copywriting)
• Social Media Marketing (Instagram, Facebook, LinkedIn)
• WhatsApp Marketing
• Email Marketing
• Google Ads & Meta Ads Management

The specific scope of services will be defined in individual project proposals, contracts, or service agreements between you and Quiotech Technologies.

3. Service Agreement

3.1 Project Scope

All projects will begin with a detailed proposal outlining the scope of work, deliverables, timeline, and pricing. The project scope can only be modified through written agreement (email or formal amendment) between both parties.

3.2 Project Timelines

Estimated project timelines will be provided in the proposal. These timelines are subject to:

• Timely receipt of payment as per agreed terms
• Timely provision of content, materials, and feedback from the client
• Approval of deliverables within reasonable timeframes
• No significant changes to the original scope

Delays caused by the client may result in extended timelines and potential additional charges.

3.3 Deliverables

All deliverables will be as specified in the project proposal. We will provide deliverables in industry-standard formats unless otherwise agreed. The client is responsible for reviewing deliverables and providing feedback within the agreed timeframe.

4. Payment Terms

4.1 Payment Structure

Unless otherwise specified in the project proposal, our standard payment structure is:

• Advance Payment: 50% of the total project cost before work begins
• Milestone Payments: For larger projects, payments may be split across milestones as defined in the proposal
• Final Payment: Remaining balance due upon project completion, before final deliverables are handed over

4.2 Payment Methods

We accept payments via bank transfer (NEFT/IMPS/UPI), online payment gateways, and other methods as communicated. All payments are to be made in Indian Rupees (INR) unless otherwise agreed.

4.3 Late Payments

Invoices are due within 7 days of issuance unless otherwise specified. Late payments may result in:

• Suspension of work until payment is received
• Delay in project timelines
• Interest charges of 2% per month on overdue amounts

4.4 Taxes

All quoted prices are exclusive of applicable taxes (GST) unless explicitly stated otherwise. Applicable taxes will be added to the invoice as per Indian tax regulations.

5. Intellectual Property Rights

5.1 Client Materials

You retain ownership of all materials, content, logos, and branding you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of completing the project.

5.2 Deliverables Ownership

Upon full payment of all invoices:

• You will own the final deliverables created specifically for your project (website designs, custom graphics, content)
• We retain ownership of any pre-existing materials, frameworks, templates, or code libraries used in the project
• We reserve the right to use the work in our portfolio, case studies, and marketing materials unless otherwise agreed

5.3 Third-Party Materials

Any third-party assets (stock images, fonts, plugins) used in the project are subject to their respective licenses. The client is responsible for ensuring compliance with these licenses.

6. Client Responsibilities

To ensure successful project completion, you agree to:

• Provide accurate and complete information about your business and requirements
• Supply all necessary materials (logos, content, images, access credentials) in a timely manner
• Respond to requests for feedback, approvals, and clarifications within reasonable timeframes
• Ensure that materials provided do not infringe on any third-party intellectual property rights
• Designate a primary point of contact for project communication
• Make payments according to the agreed schedule
• Review and test deliverables and report any issues promptly

7. Limitation of Liability

7.1 Service Limitations

While we strive to deliver high-quality services, we do not guarantee:

• Specific rankings, traffic, or conversion results from SEO or marketing services (as these depend on many external factors)
• Uninterrupted or error-free operation of websites or digital assets
• Results from advertising campaigns (which depend on market conditions, competition, and other variables)

7.2 Liability Cap

To the maximum extent permitted by law, Quiotech Technologies' total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

7.3 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of whether we have been advised of the possibility of such damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes but is not limited to business strategies, customer data, financial information, and trade secrets. This obligation survives the termination of our engagement.

9. Termination

9.1 Termination by Client

You may terminate the project at any time by providing written notice. In case of termination:

• Payment is due for all work completed up to the termination date
• Any advance payment for work not yet started may be refundable (subject to our Refund Policy)
• We will provide all completed work and materials within 7 business days

9.2 Termination by Quiotech

We reserve the right to terminate the project if:

• Payment is not received within 30 days of the due date
• The client fails to provide required materials or feedback for more than 30 days
• The client requests work that is illegal, unethical, or violates our policies
• There is a material breach of these Terms

9.3 Effect of Termination

Upon termination, both parties shall return or destroy any confidential information belonging to the other party. Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter informally through good-faith negotiations within 30 days of the dispute arising.

10.2 Mediation

If informal resolution fails, both parties agree to attempt mediation before pursuing any legal action. The mediator shall be mutually agreed upon, and costs shall be shared equally.

10.3 Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quiotech Technologies and its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your breach of these Terms
• Your violation of any applicable laws or third-party rights
• Content or materials you provide that infringe intellectual property rights
• Any misrepresentation made by you

12. General Provisions

12.1 Entire Agreement

These Terms, together with any project proposals and agreements, constitute the entire agreement between you and Quiotech Technologies regarding the subject matter herein.

12.2 Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services after modifications constitutes acceptance of the updated Terms.

12.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it later.
